Agreement to Terms
By using the Reprosify services, you accept and agree to these Terms. If you are using the Reprosify services on behalf of an organization, then you are agreeing to these Terms for that organization and promising to Reprosify that you have the authority to bind that organization to these Terms.
You acknowledge that our agreements contained in these Terms are supported by reasonable and valuable consideration, including your ability to visit, use, submit information to, or receive information from the Reprosify services.

Phone & Text Authorization
By using our services, you authorize Reprosify, its affiliated companies and partners to communicate with you by phone and text at the wireless phone number provided.

Automated Systems
Contact methods may include auto-generated text messages or automated telephone dialing systems, even if registered on Do-Not-Call registries.

Consent Terms
Your consent to text messages and phone calls is not a condition to using any Service Provider's services. You may opt-out as specified in these Terms.
Communication Terms & Conditions
Opt-Out Rights
You may revoke consent for phone calls by requesting to be placed on an internal Do Not Call list, and for text messages by responding STOP.
Number Changes
You must notify Reprosify promptly if you change your wireless telephone number and agree to indemnify for claims arising from failure to notify.
TCPA Compliance
You agree to indemnify Service Provider for claims related to the Telephone Consumer Protection Act arising from your use of the services.
Age Restrictions
The Reprosify services are not intended for minors under 13 and are only to be used by citizens and residents of the United States and Canada.
Binding Arbitration Agreement

Agreement to Arbitrate
You and Reprosify agree to resolve any dispute relating to these Terms or services by binding arbitration in Virginia, except for intellectual property claims.

Mediation First
Prior to arbitration, both parties agree to seek resolution through mediation conducted by the American Arbitration Association (AAA).

Class Action Waiver
Claims must be brought individually, not as class actions. The arbitrator cannot combine multiple claims or preside over class proceedings.
Service Restrictions
You agree not to transfer, resell, lease, or make available the Reprosify services to third parties. You will ensure services are used in accordance with all applicable laws and will not reverse engineer any software provided.
Third-Party Providers
Reprosify does not endorse or recommend any third-party service providers. You are responsible for investigating service providers before engaging them. Reprosify is not liable for any losses arising from your use of service providers' products or services.
Warranty Disclaimer
THE REPROSIFY SERVICES ARE PROVIDED "AS IS" TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. DIRECT DAMAGES ARE LIMITED TO AMOUNTS PAID DURING THE PRECEDING TWELVE MONTHS.
Data Ownership & Confidentiality
As between you and Reprosify, we exclusively own all rights, titles, and interests in the Reprosify services. You own all rights to your Confidential Information.
We welcome your feedback, but by submitting suggestions you agree we are not under any obligation of confidentiality and may use your suggestions for any purpose.
Both parties agree to protect each other's Confidential Information and not disclose it to third parties without prior written consent, except as necessary to provide services.
Your Agreement to These Terms
These Terms become effective on the first day that you either click "I Accept" or start using the Reprosify services. Your continued access or use of the Reprosify services constitutes your acceptance of any and all changes to these Terms.
We reserve the right to make changes to these Terms at any time and for any reason. We will alert you about changes by updating the "Last Updated" date.
